A Private Limited Company is the most popular business structure in India for startups and growing businesses. It offers limited liability, a separate legal identity and the credibility that investors and banks look for.
Who can register a Private Limited Company
You need a minimum of two directors and two shareholders, and the same people can hold both roles. At least one director must be a resident of India. There is no minimum paid up capital requirement, so you can start with any amount.
Documents you will need
- PAN and Aadhaar of all directors
- Passport size photographs
- Address proof such as a bank statement or utility bill
- Registered office address proof
- Rent agreement and a no objection certificate from the owner
The registration process
The process is completed online with the Ministry of Corporate Affairs. First, digital signatures are issued for the directors and the company name is reserved. Next, the incorporation forms are filed along with the Memorandum and Articles of Association. Once approved, you receive the Certificate of Incorporation together with the PAN and TAN of the company.
How long does it take
In most cases the whole process is completed within seven to ten working days, provided the documents are ready and the name is approved without objection. Delays usually happen when the proposed name conflicts with an existing company or trademark.
What to do after incorporation
- Open a current bank account in the company name
- File Form INC-20A to declare commencement of business
- Appoint an auditor within thirty days
